1. Agreement to Terms
By accessing or using VoxChron ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and VoxChron Ltd.
2. Description of Service
VoxChron is an AI-powered captioning and non-verbal sound detection platform that transcribes audio and video content, detects 500+ non-verbal sounds across 6 signal layers, and generates subtitle files in multiple formats (SRT, VTT, TXT, JSON, DOCX). The Service supports pre-recorded files up to 10 GB, live streaming via RTMP/HLS/WebRTC, and translation into 75+ languages. The Service is operated by VoxChron Ltd, a company registered in England and Wales.
3. Account Registration
- You must be at least 18 years old to create an account
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorised access to your account
- One person or entity may not maintain more than one free trial account
4. Free Trial & Subscriptions
- New accounts receive 5 free minutes of processing — no credit card required
- After the free allocation, a paid plan or pay-as-you-go balance is required to continue using the Service
- Subscription fees are billed monthly via Stripe
- You may upgrade, downgrade, or cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
Consumer 14-Day Cancellation Right: If you are a consumer, you have the right to cancel this contract within 14 days without giving any reason under the Consumer Contracts Regulations 2013. The cancellation period expires 14 days after the day of the conclusion of the contract. To exercise the right to cancel, you must inform us by emailing legal@voxchron.com. If you cancel within this period, we will reimburse all payments received from you.
5. Pricing & Overage Charges
Paid plans are billed in accordance with the pricing shown at the time of purchase. All payments are processed by Stripe. If your usage exceeds your plan's monthly included minutes, overage charges at the per-minute rate for your tier will apply. Overages are billed at the end of each billing cycle.
Refunds are handled on a case-by-case basis — contact legal@voxchron.com within 7 days of a charge if you believe there is an error.
6. Intellectual Property & Content Ownership
The Service, including its software, design, logos, documentation, and the BEATS-based detection engine, is owned by VoxChron Ltd and protected by intellectual property laws.
You retain full ownership of all audio, video, and content you upload to VoxChron. VoxChron does not claim any intellectual property rights over your content.
VoxChron does not use your uploaded content, transcripts, or any derived data to train, fine-tune, or improve any AI model — ours or any third party's — without your explicit written consent.
By uploading content, you grant VoxChron a limited, non-exclusive licence to process your content solely for the purpose of providing the captioning service you have requested.
7. AI-Generated Content
- Transcripts and annotations are generated by artificial intelligence and may not always be perfect
- You are ultimately responsible for reviewing all output before use in legal, medical, or broadcast contexts
- VoxChron is not liable for any consequences arising from AI-generated content
- We implement quality controls to ensure accuracy, but no system is infallible
8. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorised purpose
- Upload content that infringes third-party intellectual property rights
- Upload illegal, harmful, or defamatory content
- Attempt to circumvent usage limits or security measures
- Reverse-engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without written agreement
- Interfere with the Service's infrastructure or other users' access
9. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
10. Data Security
VoxChron applies reasonable technical and organisational security measures to protect your data, including:
- AES-256 encryption of all uploaded files at rest and in transit (TLS 1.2+)
- Automatic deletion of source files upon job completion
- Access controls restricting data to authorised personnel only
- Payment data handled entirely by Stripe (PCI DSS compliant)
No system is completely secure. VoxChron cannot guarantee absolute security and is not liable for any breach that occurs despite reasonable security measures.
11. Service Provided "As Is"
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VOXCHRON DISCLAIMS ALL OTHER REPRESENTATIONS, WARRANTIES, CONDITIONS AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Consumer Rights: If you are a consumer, nothing in these terms affects your statutory rights under the Consumer Rights Act 2015, including the right that digital content must be of satisfactory quality, fit for purpose, and as described.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXCHRON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Non-Excludable Liabilities: Nothing in this Agreement limits or excludes any liability which cannot legally be limited or excluded, including but not limited to liability for: (i) death or personal injury caused by negligence; and (ii) fraud or fraudulent misrepresentation.
13. Indemnification
You agree to indemnify and hold harmless VoxChron Ltd from any claims, losses, or damages (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Service Availability & Modifications
- We strive for 99.9% uptime but do not guarantee uninterrupted access
- We may modify, suspend, or discontinue features with reasonable notice
- Scheduled maintenance will be communicated in advance when possible
- We are not liable for service interruptions caused by third-party services
15. Compliance Disclaimer
VoxChron's captioning features are designed to help meet accessibility requirements under WCAG 2.1 AA, ADA Title III, FCC §79.1, and Section 508. However, full compliance depends on proper implementation and should be validated by qualified legal counsel.
Individual compliance determinations must be reviewed and validated by qualified legal counsel. VoxChron makes no guarantee that use of the platform automatically satisfies any specific legal or regulatory obligation.
16. No Third-Party Beneficiaries
This Agreement is solely for the benefit of the parties and their permitted assigns. No third party shall have any rights hereunder or any right to enforce any term of this Agreement.
This Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.
17. Termination
- You may terminate your account at any time via account settings
- We may terminate or suspend your account for violation of these Terms
- Upon termination, your right to use the Service ceases immediately
- You may request deletion of your data per our Privacy Policy and GDPR rights
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance. Where required by law, we will seek your renewed consent.
19. Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).
